It describes how the software is meant to be used and what it does not promise. The clauses below — particularly on liability, governing law and the company's legal name — need a lawyer's attention before any real shop signs up. Several are marked.
These terms apply when you use Kownt X. If you do not accept them, do not use it.
What this is
Software for running a shop: billing, stock, credit accounts, orders and the records that go with them. It is a tool for keeping your books. It is not an accountant, not a tax adviser and not a bank.
Your account
- Sign-in is by a one-time code sent to your phone. Keep control of that number — anyone who can receive codes on it can reach your shop's records.
- You are responsible for what the people you give access to do. If you add a staff member, give them the role that matches their job.
- One account is for one business. Do not share a login between separate businesses.
Your information is yours
The records you put in — your products, sales, customers and accounts — belong to you. We store them so the software can work. You can export them at any time from Business → Exports, and the owner can close the account from Settings — which erases everything seven days later, with a week to change their mind.
What you must not do
- Use it for anything illegal, or to keep a second set of books intended to mislead.
- Record a person's details without a reason to hold them.
- Try to reach another shop's records, or to get around the limits set on your role.
- Resell access, or run it as a service for other businesses, without our agreement.
Tax and legal figures are yours to check
The app works out GST, prints invoices, prepares return summaries and tracks filing dates. Those calculations depend on what is entered — an HSN code, a rate, a place of supply. The app cannot tell a wrong code from a right one.
Every figure you file is your responsibility. Check the returns before you submit them. If a rate or a code is wrong in your records, the output will be confidently wrong in the same way.
Other people's services
If you connect a courier, a marketplace or a payment provider, that is an arrangement between you and them, under their terms and their charges. We pass information to them so the feature works; we do not control what they do, whether they are available, or what they charge.
Payments and fees
Every shop has the free core for nothing, forever: quick billing with printed or shared receipts, UPI and cash, khata, products and customers, stock that goes down as you sell and simple stock counts, reports and exports, one store, run by you and one staff login. Starter is ₹49 a month. On top of it you pick the modules you need, each a monthly price: Point of sale (₹149), Inventory & purchasing (₹149), Online orders (₹199), Warehouse (₹149), Accounting & GST (₹149) and Staff (₹79). Two modules cost 15% less than their prices added up, three or more 25% less, and no set ever costs more than Everything, all six for ₹499 a month or ₹4,990 a year. Any paid module gives up to 3 stores and 10 staff logins. Business is ₹1,499 a month or ₹14,990 a year: everything, up to 20 stores, as many staff as you need, and larger allowances. Each store over 20 is an add-on of ₹199 a month (₹1,990 a year on a yearly plan), chosen in Settings → Your plan; it renews with your plan. Adding stores during a billing period charges only the days left; removing them takes effect from your next billing date. A yearly plan costs ten months' price, which saves 17%. Outside India, prices are in US dollars before tax, and depend on the country of your billing address (or India, if you give a valid GSTIN): in the United States, the United Kingdom, the European Union, Australia, Canada and the Gulf states, Starter is US$9, Everything US$39 and Business US$199 a month, with each extra store US$15; everywhere else they are US$5, US$29 and US$79, with each extra store US$9. Paying in dollars is not open yet. Fair use. Every paid plan covers up to 10,000 bills per store per calendar month. Going over never stops a bill: every sale still goes through. The app tells the owner when a store is over, and the way to stay within fair use is to add stores (on Business, extra stores at the price above). We will not charge more or switch anything off for going over without telling you first, under "Price changes" below. Every new shop gets 30 days of Everything without paying. The app shows, before you pay, what the modules you picked include and what you will not have. The price you pay is the one shown in the app when you pay.
Not having a module only stops you adding new records in it. What you recorded while you had it stays readable and exportable, and orders that arrive from a marketplace are always let in.
Billing, khata, one-tap reminders, reports and exports are free on every plan, and no plan ever locks away what you have already recorded.
Subscriptions and automatic renewal
Paid plans (Everything, Business and module plans) are sold as subscriptions billed monthly or yearly. A subscription renews automatically at the end of each billing period, at the price then in effect, until you cancel it. You subscribe from Settings → Your plan by card or UPI Autopay; payments are processed by Razorpay, which holds the payment mandate. Okount does not store your card details. All prices are in Indian rupees and include GST.
- Disclosure and consent. Before you subscribe you are shown the plan, the billing period, the amount, the date of the first charge and the date of the next renewal, and you must expressly authorise the recurring charge. A copy of what you agreed to, including the amount and period, is kept with your account. Continuing to use the app is not consent to a charge.
- Notice before each charge. In line with the Reserve Bank of India's rules on e-mandates for recurring payments, you will receive a pre-debit notification at least 24 hours before each renewal charge, stating the amount and the date. Kownt X also reminds you in the app three days before each renewal.
- Additional authentication. Renewals of up to ₹15,000 are charged without a one-time password. A renewal above ₹15,000 requires additional authentication with your bank, as the RBI requires.
- Free trial. Every new shop gets 30 days of Everything without charge. There is one trial per email ID, and one per GST number where a GSTIN is given; phone-only sign-ins are limited per phone number. A shop that does not qualify starts on the free core. If you set up a subscription during the trial, the first charge falls on day 30 unless you cancel before then. If you do not set one up, the trial simply ends and the shop moves to the free tier; nothing is charged.
- Cancellation. You may cancel at any time in Settings → Your plan, in no more steps than it took to subscribe. Cancellation stops future renewals; the plan remains active until the end of the billing period already paid for, after which the shop moves to the free tier. Cancelling is not the same as closing your account and deletes nothing.
- Changing plans. Moving up takes effect at once. You pay only the difference for the days left in the current billing period, and your billing date stays the same (moving from monthly to yearly starts the new year that day, less the unused part of the month). Moving down is never charged or refunded. It starts on your next billing date, and your current plan stays until then; you can undo it before that date. Buying a plan that already includes a website tool you pay for: the unused part of the tool's current period comes off the plan's first charge, and the tool stops renewing.
- Refunds. If you ask within 48 hours of your first payment for a plan, the full amount of that payment is refunded, no reason needed. If you were charged twice, or charged after you cancelled, the extra charge is refunded in full whenever you tell us. Apart from this, no refunds or credits are given for partial billing periods or unused time, except where applicable law requires otherwise. Refunds go back to the same payment method, usually within 5 to 7 working days. To ask for one, write to us from Help in the app, or to the contact address below.
- Offers when you cancel. When you go to cancel a monthly plan, we may offer one month at half price or one month free. Each offer can be used once per account. If you accept, auto-renew stays on: the next renewal is charged as usual under your existing authorisation, and half of it, or all of it, is refunded to the same payment method, usually within 5 to 7 working days. Later renewals are at the regular price, and you can still cancel at any time.
- Failed payments. If a renewal charge fails, it is retried on the first, third and fifth day after the due date, and we will tell you. The plan stays active for 7 days after the end of the paid period; if payment has not succeeded by then, the shop moves to the free tier. All your data is kept.
- Seven days on us. When a paid plan or a free trial ends without renewing, we keep it on, free of charge, for 7 more days, and remind you what will stop after that. This is given at most once in any 180 days per shop, and not after a failed renewal (which already has its own 7 days) or a disputed payment. If you subscribe again during these days, your new plan starts when they end.
- Free months for staying. Paid time earns free months, once each: 2 years paid earns 1 month free, 3 years earns 2 months, and 5 years earns 3 months. Breaks are not counted, and trials and free days are not paid time. On a monthly plan, that many renewals are charged as usual under your existing authorisation and refunded in full to the same payment method; on a yearly plan, that share of the next renewal is refunded (one twelfth per month). Months still waiting are cancelled if you turn off auto-renew before they are used.
- Price changes. If you are already on a plan, you keep its price for at least 12 months from when you subscribed. We will notify you in the app at least 30 days before a new price applies to your subscription. A higher price is never charged under your existing authorisation: to renew at the new price you authorise the new amount yourself. If you do not, your plan keeps renewing at the old price, or you may cancel at any time.
- Pausing. You may pause a plan for one, two or three months, once in any 12 months. The pause starts at the end of the period already paid for, and your autopay is switched off. Nothing is charged while paused, the shop is on the free tier, and all your data is kept. To resume, early or at the end of the pause, you authorise a new subscription at the price then in effect.
- Disputed payments. If a payment to Kownt X is disputed with your bank or card issuer (a chargeback), paid features may be paused while the dispute is open. If the dispute is decided against Kownt X, the shop moves to the free tier and new paid purchases are held until the matter is settled with us. Nothing is deleted.
- More stores or staff than your plan allows. After you move to a smaller plan or the free tier, you choose which stores and staff logins stay open. The rest are locked: they are kept and can be read, but locked staff cannot sign in and locked stores cannot take new bills. Nothing is deleted, and moving up again unlocks them.
- Using the app offline. If the app cannot reach Kownt X when your plan ends, it keeps your plan for up to 3 days. After that, paid features lock until the app can check your plan again. Billing, khata, reports and exports keep working offline.
- Where you are billed. A shop is billed in the country of its business address, or in India where it has an Indian GSTIN, whatever card you pay with and wherever you connect from. Cards issued outside India are accepted for shops billed in India. Paying for a shop billed outside India is not open yet.
- When a shop changes hands. If the account owner of a shop changes, the previous owner's subscription stops renewing at the end of the period already paid for; it is never charged to the previous owner again. The new owner subscribes in their own name.
- One-time payment by UPI. You may instead pay for one month or one year by UPI to Kownt X's UPI ID and enter the payment reference. Such a payment is prepaid and does not renew; when the period ends the shop moves to the free tier unless you pay again.
Website tools
The paid tools on www.okount.com (GST invoice generator, barcode labels, payment reminders, e-way bill checker, HSN finder, and All tools) are sold as subscriptions billed monthly or yearly, on the same terms as plans above. A tool subscription renews automatically every month (or every year, if you chose yearly), at the price you agreed to, until you cancel it. Before paying you tick one box: “I agree to the Terms and authorise Kownt X to charge ₹X every month until I cancel”, with the amount and period filled in; a copy is kept with your account. Razorpay sends the pre-debit notice at least 24 hours before each charge.
- Cancellation. Cancel any time on your account page on www.okount.com. Renewal stops; the tool stays unlocked until the end of the period already paid for. No refunds for partial periods, except a full refund if you ask within 48 hours of your first payment, and where the law requires.
- Failed payments. Retried as for plans; the tool stays unlocked for 7 days after the paid end, then returns to the free version. Your saved files are kept.
- Passes bought before 28 October 2026, and UPI payments. A pass paid once, or paid by UPI with a reference, does not renew. It runs to its end date and then stops.
Whatever you are using free today stays usable. Work already in the app will not be locked behind a new paid plan without telling you 30 days beforehand.
Dropping to the free tier never deletes your records. If you stop paying, features may switch off, but your books stay readable and you can still export everything from Business → Exports. We do not hold a shop's own accounts hostage to a failed card. Records are only ever erased by the account closure described above.
Suppliers on Kownt X
Brands, distributors and wholesalers can list their products on Kownt X, with prices by quantity. When a shop runs low on something, Kownt X can show it the same or a similar product from suppliers who deliver to it, and the shop can send its purchase order to them inside Okount.
For shops
- It costs a shop nothing. Kownt X does not add anything to a supplier's price.
- The sale is between you and the supplier. Kownt X does not buy, sell, hold, deliver or check the goods, and is not a party to the order. Quality, delivery, returns, invoices and tax are agreed between you and the supplier.
- You pay the supplier directly, the way you always have. No money for the goods passes through Kownt X.
- What the supplier sees. Only the orders you send them, with your shop name, the delivery address and phone on the order. Never your stock, sales, customers or other suppliers.
- Demand counts. A supplier sees how many shops in its delivery area sell a product it lists (matched by barcode) and how many of them are at or below their reorder level, as a number only, and only when it is 3 or more. Never which shops, or their stock or prices. The shop owner can turn this off in Inventory → Suppliers on Kownt X.
- Deals and credit days are the supplier's own offer. A deal price applies until the end of the day it shows; the price on your order is the one when you send it.
- Prices are the supplier's. They come from the supplier's list at the moment you send the order. The supplier can lower a price or send less than you ordered, never more, and your purchase order changes to match.
- A "similar" match is a suggestion. Check the pack, brand and size before you order.
- Sponsored offers. One offer at the top of What to reorder or supplier search may be marked Sponsored: its supplier paid for that place. It is only shown when it matches what you need, the supplier delivers to you, and its price is no more than 25% above the best normal offer, which stays in the list. "Why am I seeing this?" on each one says why. You can hide one supplier's ads at any time. How offers are ranked is set out at okount.com/how-offers-are-ranked.
For suppliers
- Listing is free. You pay Kownt X a fee on orders that are delivered: 2% of the delivered value before tax, unless a different rate was agreed in writing. The rate is fixed on each order when the shop sends it. A declined or cancelled order costs nothing.
- Fees are billed monthly and are due by the 15th of the following month. Until a month's fees are paid, your products are hidden from shops and no new orders reach you. Orders already sent carry on as normal. Applicable taxes are added to the fee.
- You may only list what you can sell and deliver to the area you set, at the prices you show. Keep your list, stock and delivery area up to date.
- Payment records are yours. What you mark as paid on the Shops page is your own record of what shops owe you. Kownt X does not collect, hold or chase that money.
- Your team. You are responsible for the people you invite to your account and what they do there. Remove anyone who should no longer have access.
- Shop details are for that order only. You may use a shop's name, address and phone to fulfil and invoice its order, and not to market to it outside Kownt X or pass it on.
- Kownt X can pause a listing that breaks these terms, misleads shops, or has fees overdue, and will say why in your portal.
- If these supplier terms change, you will be asked to agree again in your portal before new orders reach you.
Ads for shops
Starting a campaign under Sell to shops on Kownt X → Ads for shops means you agree to these ad terms as well.
- You pay per tap, never per show. A tap costs just enough to beat the next ad (or the published floor, ₹1 in India and $0.05 elsewhere), and never more than your bid. Taps by your own shop or team, a second tap by the same shop on the same product within 24 hours, taps on an offer that was the best normal offer anyway, and taps after your daily budget or ad money has run out are not charged.
- Ad money is prepaid. Charges come out of your ad money, before applicable taxes (18% GST in India). Launch credit from Kownt X is given once per supplier, has no cash value, and cannot be refunded or moved. Before adding money opens, the rules for refunds of money you add will be set out here.
- Ranking. Ads are ranked by your bid, how often shops tap your ads, and how reliable you are to buy from (orders accepted, orders delivered, a fair price). An ad that is far less relevant or reliable than the others is not shown, whatever it bids. The parameters, floor and price cap are published at okount.com/how-offers-are-ranked, and Kownt X does not use any reserve price that is not published there.
- What you may advertise. Only products shops can order from you, that you can deliver, at the prices you show. Tobacco, pan masala and gutka, vapes, alcohol, medicines, infant milk substitutes, infant foods and feeding bottles, and other goods that may not be advertised by law cannot be advertised. You must not imply that Kownt X endorses your products.
- What you see. How many times your ads were shown and tapped, and what you paid. Never which shops saw or tapped them.
- Orders found on Kownt X stay on Kownt X. You must not ask a shop to place, move or finish outside Kownt X an order for a product it found through your ad or your listing on Kownt X, for example to avoid the Kownt X fee. If shops report this, or your ads are tapped far more often than they lead to orders, Kownt X will first warn you and may then pause your ads. Shops stay free to buy from you however they choose.
- Kownt X can refuse or stop an ad that breaks these terms or the law, or misleads shops, and will say why. Charges for taps that Kownt X finds to be invalid are returned to your ad money.
Availability
The software is offered as it is. Work is saved on the device and syncs when a connection returns, so a short outage should not lose a sale — but no uptime is promised, and there may be interruptions for maintenance or for reasons outside our control.
Keep your own copies
Export your records regularly. This matters most before you close your account, change your phone number, or hand a shared device to someone else.
Liability
This software helps you keep books. It does not guarantee that the books are right, and the figures you file are yours, as set out above.
To the extent the law allows, we are not liable for lost profits, lost sales, lost goodwill, or for records you did not export before closing your account. Where we are liable, the total for all claims in any twelve months is limited to what you paid us in those twelve months, or ₹5,000 if you paid nothing.
That limit does not apply, and we do not try to exclude liability, for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; anything else the law where you live does not permit us to exclude. If you are a consumer, your mandatory rights under the law of your own country stand whatever this document says. Nothing here takes away a right you cannot lawfully be asked to give up.
Ending it
You may stop at any time and delete your account from Settings. Deleting your account or shop cancels any autopay first, with no refund for the rest of the period already paid. We may suspend an account that is being used for something illegal, or that is damaging the service for others. If we do, you will be told why and given a chance to export your records unless the law prevents it.
Changes to these terms
If these terms change in a way that matters, you will be told in the app before the change takes effect, not quietly on this page.
Who you are contracting with
Today, that is a person, not a company. Okount is run by an individual, its founder. A private limited company is intended but has not been incorporated, so there is no company to contract with yet and none is claimed here. When it is incorporated, this agreement is intended to pass to it, and you will be told in the app when that happens.
Until then, "we" and "us" in this document mean that individual. Their name and a postal address for legal notices are given on request to legal@okount.com, and to any court or authority that asks. Any statement anywhere suggesting you are dealing with an incorporated company would be wrong, and if you find one, it is a mistake to report rather than a term to rely on.
Governing law
This agreement is governed by the law of India, and the courts at [city, state — to be filled in] have jurisdiction.
If you are a consumer in the EU, the UK, or anywhere else whose law gives you the right to bring a claim locally and to rely on your own country's consumer protection, that right is not affected by the sentence above. We are not trying to move you out of your own courts.
Contact and notices
Legal notices and questions about these terms: legal@okount.com.
This mailbox is not live yet. It is the address these documents will use, published here so nothing needs rewriting later, but it is not yet receiving mail and there is no postal address for notices until the company is registered. Both must be working before the first real shop signs up.
